Legal Officer

The Legal Officer will provide legal support to NIMB Ace Capital Limited and NIBL Equity Partners on merchant banking, capital market, mutual fund, portfolio management, and private equity/venture capital activities. The role will be responsible for legal documentation, regulatory compliance, investment transaction support, contract management, legal risk management, and providing legal advisory support to investment and corporate matters. The Legal Officer will work closely with the Investment, Fund Management, Advisory, Compliance, and Operations teams to ensure business activities comply with applicable laws, regulations, and industry practices.

Key Responsibilities

1. Legal Advisory and Regulatory Compliance

• Provide legal advice on matters related to merchant banking, securities markets, mutual funds, portfolio management, and private equity/venture capital activities.
• Monitor and analyze changes in applicable laws, regulations, directives, and guidelines issued by SEBON, NRB, OCR, and other regulatory authorities.
• Ensure business activities, agreements, and transactions comply with applicable legal and regulatory requirements.
• Identify legal and regulatory risks and support implementation of appropriate mitigation measures.
• Conduct legal research and prepare legal opinions, memorandums, and advisory reports.

2. Investment, Private Equity and Capital Market Support

• Provide legal support throughout the investment lifecycle, including evaluation, due diligence, execution, monitoring, restructuring, and exit.
• Conduct legal due diligence of investment opportunities, including review of corporate documents, ownership structures, contracts, licenses, regulatory compliance, and potential legal risks.
• Review, draft, and negotiate investment-related documents, including term sheets, investment agreements, shareholders’ agreements, share purchase/subscription agreements, advisory agreements, and other transaction documents.
• Provide legal opinions on investment structures, regulatory requirements, transaction execution, and exit strategies.
• Review securities-related documentation, regulatory submissions, disclosures, and agreements required by relevant authorities.
• Support monitoring of portfolio company legal matters, governance issues, ownership changes, and restructuring activities affecting investment value.

3. Contract Management

• Draft, review, negotiate, and manage company agreements, including vendor agreements, service agreements, consultancy agreements, NDAs, employment agreements, and partnership agreements.
• Ensure contractual terms protect the company’s interests and comply with applicable laws.
• Maintain legal records, contract repository, and contract tracker.

4. Corporate Governance and Company Secretarial Support

• Assist in preparation and review of board documents, resolutions, general meeting documents, and corporate records.
• Support statutory filings and regulatory documentation in compliance with applicable laws.
• Coordinate with external legal advisors, regulators, and government authorities when required.

5. Litigation and Legal Risk Management

• Monitor legal disputes, notices, claims, litigation matters, and other legal risks affecting the company and investments.
• Coordinate with external legal counsels on court proceedings and specialized legal matters.
• Maintain legal case records and provide updates to management.
