Qualification, Experience & Competencies:
- Bachelors preferably BA LLB / LLB
- Good knowledge of legal requirements and procedures
- Proficient in spoken and written Nepali and English
and proficient Nepali typing
- Highly-analytical with strong attention to detail
- Good documentation skills
- Good knowledge about public company’s compliance
management
- Prior experience in similar position
Responsibilities:
- Handle Legal Operations of the company and its
subsidiaries
- Responsible for preparing Board of Directors (BOD)
meeting agenda, communicate notice to BOD members, prepare minutes of the
company and subsidiaries
- Keeping the BOD informed of all the amendments in
Acts, rules and regulations concerning the Public Company and cause to
deliberate on the matters in BOD
- Acting as an effective and efficient catalyst for
efficient and effective implementation of the BOD decisions and reporting
back to the BOD on the progress made
- Prepare for Annual General Meeting, Extraordinary
General Meeting, agendas, notice, minutes and its filing in OCR
- Conduct company secretarial work for various committees
under the BOD
- Preparation and filing of annual filing documents
and forms with OCR
- Review and draft contracts, agreements and internal
policies and ensure that they are in compliance with all statutory and
legal requirements, litigation management
- Ensure timely replies to all legal notices,
complaints, grievances received
- Act as a custodian of corporate records, statutory
books, company’s assets documentation, shareholder’s register and update
the same
- Registration/ renewal of company and its
subsidiaries’ various certificates, permission and other legal documents
- Obtaining patent, trademark and permissions,
licenses as per the company’s requirements
- Communicate regular with shareholders, various
committees and BOD regarding company matters and on other matters as directed
by BOD
- Identify and solve legal and dispute related matters
- Represent organization in legal cases, document cases
and proceed as required as per company compliance rules and regulation
meetings
- Advise management on the company’s compliance with laws
and regulations through reports
- Formulate and execute compliance & risk management
strategies
- Perform other works as directed by management.
