Reporting Line: Legal and Compliance Director
Core Responsibilities:
1. Litigation & Contract Management: Monitor and coordinate ongoing litigation in collaboration with external legal counsel, conduct legal research, and support documentation processes. Review, draft, and provide legal advice on a variety of commercial agreements, MoUs, and contracts. Maintain a structured and accessible contract management system while ensuring accurate recordkeeping and legal documentation.
2. Intellectual Property (IP) Management: Manage the company’s intellectual property portfolio, including trademarks and copyrights. Support in registration, renewals, and enforcement efforts by coordinating with external counsel. Maintain up-to-date IP records and monitor for unauthorized use of company assets.
3. Compliance – “Live by Compass” Guidelines: Drive compliance initiatives by embedding the company's “Live by Compass” ethical guidelines across departments. Conduct training and awareness programs on the Code of Business Conduct and other policies, assist in policy development, monitor internal compliance, and escalate concerns as necessary. Provide practical legal and ethical guidance to internal teams.
4. Support to Secretarial Function: Assist in the preparation of agendas, notices, and minutes for Board, Committee, and General Meetings. Support statutory filings and disclosures to regulatory authorities such as the Office of the Company Registrar, Nepal Rastra Bank, and the Department of Industry. Ensure all documentation meets legal and corporate governance standards.
5. Legal Budgeting & Cost Control: Support the Director – Legal & Compliance in preparing and managing the annual legal budget. Track legal expenses, verify invoices from law firms and external vendors, and ensure proper allocation of legal costs. Provide updates and assist in strategic planning for legal spend optimization.
6. Other Legal Responsibilities: Assist in the implementation of internal policies and controls, provide legal advisory support on regulatory compliance, and help with license renewals. Draft legal notices, interpret relevant laws and regulations, and support the development of legal strategies. Carry out any other legal assignments as delegated by the Director – Legal & Compliance.
