Job Description

We are seeking a highly organized and detail-oriented Corporate Secretary to manage our corporate governance, regulatory compliance, and board administration functions. The Corporate Secretary will play a key role in ensuring the effective operation of the company’s board of directors and supporting executive leadership in fulfilling legal and corporate responsibilities.

Key Responsibilities:

  • Organize and coordinate board meetings, committee meetings, and annual general meetings (AGMs).
  • Prepare and maintain accurate records of minutes, resolutions, and legal documents.
  • Ensure the company complies with relevant legal, regulatory, and corporate governance requirements.
  • Maintain statutory registers and file necessary documents with government/regulatory bodies (e.g., Registrar of Companies).
  • Provide administrative and legal support to the board and senior management.
  • Serve as the liaison between the board of directors, senior management, and stakeholders.
  • Assist in drafting corporate policies, charters, and governance frameworks.
  • Monitor and advise on developments in corporate governance practices and regulations.
